These Terms of Service (“Terms”) govern your use of the AstroIT Managed Services LLC (“AstroIT,” “we,” “us,” or “our”) website and any managed IT, cybersecurity, cloud, or advisory services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms.

Specific services delivered under a Managed Services Agreement, Statement of Work, or similar signed agreement are also governed by the terms of that agreement. Where there is a conflict, the signed agreement controls for the scope of services it covers.

1. Overview

AstroIT provides managed IT support, cybersecurity, cloud, and advisory services to businesses. These Terms apply to our website, quote requests, consultations, and the general relationship between AstroIT and our clients and prospective clients.

2. Definitions

  • “Services” means the managed IT, security, cloud, or advisory services described in an applicable agreement or Statement of Work.
  • “Client” means the business or individual that has engaged AstroIT to provide Services.
  • “Client Environment” means the client’s network, devices, accounts, and systems that AstroIT accesses or manages in the course of delivering Services.

3. Services

The specific Services provided to a client, including scope, service levels, and included support hours, are described in that client’s Managed Services Agreement or Statement of Work. Descriptions of plans and pricing on our website are informational and subject to confirmation during a formal assessment and quote.

4. Fees & Payment

Fees for Services are set out in the applicable agreement and are typically billed monthly in advance for recurring managed services, or per milestone for fixed-scope projects. Late payments may result in a suspension of Services after written notice. Fees are exclusive of applicable taxes unless stated otherwise.

5. Client Responsibilities

To deliver Services effectively, we ask clients to:

  • Provide timely access to systems, personnel, and information reasonably needed to perform the Services
  • Maintain valid licenses for third-party software used in the Client Environment
  • Promptly report suspected security incidents or unauthorized access
  • Use Services in compliance with applicable law and not for unlawful purposes

6. Term & Termination

Recurring Services are generally provided on a month-to-month or annual basis as specified in the applicable agreement. Either party may terminate with the notice period stated in that agreement. AstroIT may suspend or terminate Services immediately for non-payment, misuse, or conduct that puts our team, systems, or other clients at risk.

7. Warranties

We will perform Services in a professional and workmanlike manner consistent with generally accepted industry standards. Except as expressly stated in an applicable agreement, Services are provided without other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, AstroIT’s total liability arising out of or related to the Services is limited to the fees paid by the client for the Services giving rise to the claim in the twelve (12) months preceding the event. Neither party will be liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, except where prohibited by law.

9. Intellectual Property

AstroIT retains ownership of its own tools, methodologies, documentation templates, and pre-existing intellectual property used to deliver Services. Client data and Client Environment configurations remain the property of the client. Nothing in these Terms transfers ownership of either party’s pre-existing intellectual property to the other.

10. Confidentiality

Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as necessary to perform the Services or as required by law. This obligation survives termination of the relationship.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will post the updated Terms on this page with a revised “Last updated” date. Continued use of our website or Services after changes take effect constitutes acceptance of the updated Terms.
